As previously disclosed, on January 27, 2023, Akerna Corp., a Delaware corporation (“Akerna”), entered into the Agreement and Plan of Merger with Gryphon Digital Mining, Inc., a Delware corporation (“Gryphon”) and Akerna Merger Co.. a Delaware corporation and wholly-owned subsidiary of Akerna (such transaction, the “Merger”).
On January 10, 2024, Akerna and Gryphon issued a press release announcing the date for the special meeting of the stockholders of Akerna to consider and vote on the Merger and related items. A copy of this press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
