Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

On September 25, 2020, the Board of Directors of Akerna Corp. (the “Company”) adopted resolutions pursuant to Article XII of the Company’s Bylaws to change the Company’s fiscal year end from June 30 to December 31, effective for the year ending December 31, 2020. The Company will cover the transition period from June 30, 2020 to December 31, 2020 by filing a Quarterly Report on Form 10-Q for the quarter ended September 30, 2020 and an Annual Report on Form 10-K for the transition year ending December 31, 2020.
